These Terms & Conditions ("Terms") govern your use of Lively Integrated Health, LLC's website, services, communications, and SMS messaging program ("Services"). By accessing our Services or opting into SMS communications, you agree to these Terms.

1. Legal Entity

Lively Integrated Health, LLC ("we," "our," "us") is an Arizona-registered health and wellness clinic.

2. SMS Messaging Program

By opting into our SMS program via our website form, you consent to receive:

-Appointment reminders

-Occasional marketing and promotional offers

-Monthly specials

-Important clinic updates

-Message + Data Rates: May apply, depending on your mobile carrier.

3. Clinical Communications + SMS

Clinical communications are conducted through Spruce, a HIPAA-compliant secure messaging platform.

Our standard SMS program via Optimantra (appointment reminders) is not used for clinical communication and is not intended to transmit protected health information (PHI). Reminder messages may contain limited scheduling information, such as appointment date and time. Please do not send medical questions, symptoms, or other health information through our standard SMS program. 

Our preferred way of contact is through our Spruce HIPAA-compliant office line via text or phone for clinical matters (480-780-7214).

4. Opt-Out Instructions

You may opt out at any time by replying:

STOP – Immediately removes you from all SMS communications, including appointment reminders and marketing messages.

HELP – Returns instructions and contact information.

Opting out of SMS does not cancel appointments, treatment plans, or other clinic obligations.

5. User Responsibilities

You agree to:

-Provide accurate contact information

-Not use our Services for unlawful purposes

-Not attempt to access systems or data not intended for you

-Notify us immediately if your phone number changes

6. Clinic Services Disclaimer

Lively Integrated Health, LLC provides health and wellness services consistent with its clinical scope.

Nothing in our SMS messages, emails, or website:

-Creates a provider–patient relationship

-Serves as emergency medical advice

-Should replace professional medical evaluation

For emergencies, call 911 or go to the nearest emergency room.

7. Payment + Billing

By scheduling appointments or purchasing services, you agree to:

-Provide valid payment information

-Allow us to bill for services rendered

-Follow any cancellation or no-show policies listed by the clinic

Refunds, when applicable, follow our posted clinic policies.

8. Intellectual Property

All content, branding, materials, and communications provided through our Services are the property of Lively Integrated Health, LLC.

You may not copy, distribute, reproduce, or create derivative works without written permission.

9. Marketing Communications

If you opt in to marketing communications:

-You consent to receive promotional SMS messages

-Frequency will remain within stated limits unless you re-opt in to a higher frequency program

-You may unsubscribe at any time via STOP

10. Data Collection + Privacy

If you are or become a patient, your protected health information is governed by our HIPAA Notice of Privacy Practices and the privacy and consent documents provided at intake.

Text messaging originator opt-in data and consent will not be shared with any third parties, excluding aggregators and providers of the text message services.

11. Third-Party Links + Services

Our website or messages may include links to third-party sites.

We are not responsible for:

-Their content

-Their privacy practices

-Any damage arising from interactions with those sites

12. Limitation of Liability

To the fullest extent permitted by law:

-We are not liable for delays, failures, or inaccuracies in SMS delivery

-Carriers are not liable for delayed or undelivered messages

-We are not responsible for losses arising from technology issues or unauthorized access to your device

13. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles.

14. Changes to These Terms

We may update these Terms at any time. The "Last Updated" date will reflect the most recent revision. Continued use of our Services constitutes acceptance of any changes.
